These Terms and Conditions (the “Terms”) govern your access to and use of our website, platform, products, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please discontinue use of our Services immediately.
1. DEFINITIONS
1.1 “Documents” refers to any and all content, including but not limited to legal, financial, educational, or business-related documents created by or delivered through Colordocs.
1.2 “Exclusive Purchase” means the acquisition of full ownership rights to the Documents, including perpetual, exclusive usage rights, as further described in Section 3.
1.3 “License” means a contractual agreement for the limited right to use the Documents, subject to specified terms and conditions, as further described in Section 4.
1.4 “User,” “You,” or “Customer” refers to the individual or entity accessing or purchasing Services from Colordocs.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Eligibility. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into legally binding agreements.
2.2 Account Registration. Certain features of our Services may require you to register an account. You agree to provide accurate and complete information, to keep this information updated, and to safeguard your account credentials.
2.3 Responsibility. You are responsible for any activities that occur under your account. If you suspect unauthorized use of your account, contact us immediately.
3. EXCLUSIVE PURCHASE
3.1 Scope of Exclusive Purchase. When you choose to purchase Documents in their entirety, you acquire:
- Exclusive Rights. You obtain perpetual, exclusive rights to use the Documents.
- Ownership Transfer. Full ownership of the intellectual property as it relates to the Documents, unless otherwise specified in writing.
3.2 Pricing and Payment. The purchase price for an Exclusive Purchase will be determined at checkout or as specified in a separate written agreement. Payment must be made in accordance with the payment terms stated in the order or agreement.
3.3 Delivery. The Documents will be delivered in English, unless you have contracted for another language. Delivery methods may vary depending on the nature of the Documents and will be specified at the time of purchase.
3.4 Limitations. Although ownership transfers to you upon completion of payment, you agree to abide by all relevant laws and regulations governing your use of the Documents. You also acknowledge that any reuse or distribution of the Documents remains your sole responsibility and liability, subject to these Terms.
4. LICENSED USE
4.1 License Grant. If you opt for a licensed model rather than an exclusive purchase, Colordocs grants you a non-exclusive, non-transferable, revocable license to use the Documents, solely for the purposes and under the conditions set forth in these Terms and any additional contractual agreements.
4.2 License Period. The license duration, permitted number of uses or copies, and any territorial restrictions will be defined in your specific licensing agreement. If not explicitly stated, the license is granted for a term of one (1) year, renewable upon mutual agreement.
4.3 Restrictions. You shall not:
- Reproduce, redistribute, or share the Documents beyond the scope defined in your license agreement.
- Modify or create derivative works, unless expressly permitted.
- Use the Documents for unlawful, fraudulent, or unauthorized purposes.
4.4 Pricing and Payment. Licensed rights are available at a price lower than an Exclusive Purchase. Pricing will be specified at checkout or in a separate licensing agreement.
4.5 Termination of License. Colordocs reserves the right to terminate your license if you breach these Terms or any other agreement with us. Upon termination, you must immediately discontinue use of the Documents, remove any copies from your systems, and destroy or return all physical copies, if applicable.
5. INTELLECTUAL PROPERTY
5.1 Company IP. Colordocs and its licensors own all intellectual property rights related to the design, structure, and overall functionality of the Services, including trademarks, trade dress, and copyrights.
5.2 Customer Rights. Your rights to use any Documents are strictly limited to what is stated in your purchase or license agreement. Any rights not explicitly granted to you remain with Colordocs.
5.3 Prohibited Use. You may not use any trademark, service mark, or logo of Colordocs in any manner likely to cause confusion or to suggest endorsement by Colordocs without prior written consent.
6. PROTECTION AGAINST MISUSE
6.1 Fair Use. The Documents are provided for the intended purpose outlined in your purchase or license agreement. Any other use constitutes misuse and is strictly prohibited.
6.2 Anti-Copy and Distribution Measures. You agree not to copy, distribute, share, transmit, or sublicense the Documents, in whole or in part, beyond the scope of your license. Unauthorized use or distribution may be grounds for immediate termination of your license or other legal remedies.
6.3 Reporting Violations. If you become aware of any misuse or unauthorized distribution of the Documents, you agree to inform Colordocs promptly.
7. REPRESENTATIONS AND WARRANTIES
7.1 Accuracy. While we strive to ensure the highest quality and accuracy of our Documents, they are provided on an “as-is” basis without any warranties, express or implied, including but not limited to warranties of fitness for a particular purpose, merchantability, or non-infringement.
7.2 Not Legal Advice. Colordocs provides content for informational, educational, or operational purposes only. We do not offer legal, financial, or professional advice. You are responsible for consulting qualified professionals to ensure the Documents meet legal or regulatory requirements in your jurisdiction.
7.3 Limitation of Liability. To the maximum extent permitted by law, Colordocs and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or relating to the use or inability to use the Documents or Services.
8. PAYMENTS AND REFUNDS
8.1 Payment Terms. All payments must be made through the methods provided at checkout or as outlined in a separate agreement. Prices may be subject to taxes or fees as required by law.
8.2 Refund Policy. Due to the custom and digital nature of our Documents, all sales and licenses are final. No refunds will be issued once a Document has been delivered, except where required by applicable law.
9. CONFIDENTIALITY
9.1 Confidential Information. Any information you provide to Colordocs or that Colordocs provides to you as part of a custom project, including the Documents themselves, shall be treated as confidential by both parties.
9.2 Exceptions. Confidential Information does not include information that (a) is publicly available without breach of these Terms, (b) was lawfully known to the receiving party prior to disclosure, or (c) was independently developed without reference to the Confidential Information.
9.3 Obligations. Both parties agree not to disclose the other’s Confidential Information to any third party without prior written consent, except as required by law.
10. TERMINATION
10.1 By Colordocs. We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms.
10.2 By You. You may stop using our Services at any time. If you have purchased or licensed Documents, the terms governing those Documents shall remain in effect unless otherwise terminated.
10.3 Effect of Termination. Upon termination, all rights granted under these Terms or any separate agreement shall immediately cease. You agree to cease all use of the Documents and destroy or return any copies in your possession.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law. These Terms shall be governed and construed in accordance with the laws of the State of New Mexico, without regard to its conflict-of-law provisions.
11.2 Dispute Resolution. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through amicable negotiations. If not resolved, disputes shall be submitted to binding arbitration in New Mexico, unless otherwise required by applicable law.
12. CHANGES TO TERMS
12.1 Updates. We reserve the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Services after the posting of revised Terms constitutes acceptance of those changes.
12.2 Notice. We may provide notice of material changes by email or by prominently posting a notice on our website prior to the effective date of such changes.
13. SEVERABILITY
If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
14. ENTIRE AGREEMENT
These Terms, along with any other agreements or terms referenced herein, constitute the entire agreement between you and Colordocs regarding our Services and supersede any prior agreements or understandings.
